Yes, says The Corporate Library

Is it time for Harley-Davidson to revamp its Board of Directors?

Harley-Davidson made the news earlier this week at, in an inauspicious article titled “5 of the Worst Corporate Boards.”
Watchdogs at The Corporate Library, an independent firm specializing in corporate governance, call out five of the most problematic corporate boards in America. Harley-Davidson makes this list alongside Freeport McMoRan, Comcast, Lockheed Martin and Coca-Cola. The Corporate Library criticizes the Motor Company for its “embedded board,” with members that have been around for too long, are too cozy with the managers they oversee and are too hard to vote out. The group does, however, give H-D credit for recently hiring a new CEO, acting aggressively to control costs and for not showering excess pay on board members. It also points out that H-D is offering shareholders the chance to eliminate this problematic “embedded board” structure at its upcoming annual meeting on April 24. They need some changes and fast. They can’t rely on their HD name–they must compete with the best. I hope they make the right choice –new board!
